Sports Public Limited Company (SAD)

For-profit corporate form mandatory for clubs competing in Spain's top professional leagues — effectively a sports-sector public limited company.

Definition

The Sociedad Anónima Deportiva (SAD) is a for-profit corporate form regulated by Spain's Sports Act and dedicated legislation. It is mandatory for clubs competing in the top professional leagues (LaLiga, ACB basketball, etc.). Unlike a sports club or association, a SAD pays corporate tax under the general regime, has shareholders instead of members and follows corporate law with sport-specific provisions.

The four historic exceptions in Spanish football (Real Madrid, FC Barcelona, Athletic Club, Osasuna) kept the club form thanks to a 'no forced conversion' rule for entities not in financial losses at the time of the reform.

When does it apply?

Does NOT apply to amateur or grassroots sport — only the professional top tier. For a club running amateur teams, schools or local leagues, the right form is Sports Club (Elementary or Basic) or Sports Association. Confusing SAD with an amateur club is a very common conceptual mistake.

Practical example

Real Murcia C.F. is a SAD because it competes in Primera RFEF; it has shareholders (ownership changes by buying share packages), files commercial annual accounts and pays corporate tax at the general rate. Nearby, C.D. Algezares (a modest local amateur club) is a Basic Sports Club — no shareholders, members paying a fee, and the partial corporate-tax exemption that comes with non-profit status.
